These Terms and Conditions constitute a legally binding agreement between you ("Client") and Sushma Naik, a freelance digital marketing professional ("Service Provider"), operating individually. By engaging our services, you agree to be bound by these Terms.
If you do not agree to these terms, please do not engage our services or use this website.

Sushma Naik provides the following freelance digital marketing services:
The specific scope of services will be outlined in a separate Service Agreement or Project Proposal shared with each client prior to commencement.
Before commencing any work, both parties will agree upon the scope of services, deliverables, timelines, and fees through a written proposal, email confirmation, or service agreement. Any modifications to the agreed scope will require mutual written consent and may result in additional charges.
5.1 Fees: Service fees are as agreed upon in the project proposal. All fees are quoted in Indian Rupees (INR) unless otherwise specified.
5.2 Payment Schedule: For monthly retainer services, payment is due in advance at the beginning of each month. For project-based work, a 50% advance payment is required before commencement, and the remaining 50% is due upon project completion.
5.3 Late Payments: Payments not received within 7 days of the due date may result in suspension of services. A late payment fee of 2% per month may be applied to overdue balances.
5.4 Payment Methods: Payments are accepted via bank transfer, UPI, or other methods as agreed upon. Payments processed through our payment gateway are subject to the gateway's terms and conditions.
The Client agrees to:
7.1 Work Product: Upon full payment, the Client shall own the final deliverables created specifically for their project. However, Sushma Naik retains the right to use such work as portfolio samples unless otherwise agreed in writing.
7.2 Pre-existing Materials: Any tools, methodologies, templates, or frameworks used by Sushma Naik remain the property of Sushma Naik.
7.3 Third-Party Materials: The Client is responsible for obtaining appropriate licenses for any third-party content, images, or tools required for the project.
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement. This includes, but is not limited to, business strategies, client data, financial information, and marketing plans. This obligation survives the termination of the service agreement.
While Sushma Naik will use best efforts to achieve the client's marketing goals, digital marketing results are influenced by numerous external factors including but not limited to market conditions, search engine algorithm changes, competitor activities, and platform policy changes. No specific results or outcomes can be guaranteed.
10.1 By Client: The Client may terminate services with 30 days written notice. Fees for services rendered up to the termination date are non-refundable.
10.2 By Service Provider: Sushma Naik reserves the right to terminate services immediately if the Client violates these terms, fails to make payment, or engages in unlawful activities. In such cases, fees for completed work will be retained.
10.3 Refunds on Termination: Refunds for advance payments on termination are subject to our Refund Policy, available at refund.html.
Sushma Naik's total liability to the Client for any claims arising out of or related to the services shall not exceed the total fees paid by the Client in the three months preceding the claim. In no event shall Sushma Naik be liable for any indirect, incidental, consequential, or punitive damages.
The Client agrees to indemnify and hold harmless Sushma Naik from any claims, damages, losses, and expenses arising from the Client's use of the services, violation of these Terms, or infringement of any third-party rights.
During the term of the agreement and for 12 months thereafter, the Client agrees not to directly solicit, hire, or engage any subcontractors or employees of Sushma Naik who were involved in providing services to the Client.
These Terms shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, of India.
Sushma Naik reserves the right to modify these Terms at any time. Updated terms will be posted on this page with a revised "Last Updated" date. Continued engagement of services after such changes constitutes acceptance of the new Terms.
